Terms of Service

Effective 29 July 2026. This Terms of Service Agreement (the “Agreement”) is made and entered into between YXE Provider Directory, operating as a searchable directory website (the “Platform”), and the User, being any individual or entity accessing, browsing, registering for, or otherwise utilizing the YXE Provider Directory website and its associated services. Each a “Party” and collectively the “Parties.”

1. Recitals

1.1 · PURPOSE AND NATURE OF THE PLATFORM

The YXE Provider Directory is a searchable directory platform offered by the Saskatchewan Harm Reduction Resource Network. The primary purpose of the Platform is to provide a searchable directory for adult service providers in the Saskatoon area, including escorts, to collaborate, communicate, and document interactions with clients, specifically recording individuals who engage in sexual assaults, physical assaults, attempted assaults, threatening behavior, attempted robbery, verbal harassment, refusal of screening, no-shows, time-wasters, boundary violations, catfishing, misrepresentation, or any other concerning, dangerous, illegal, or unfavorable actions.

1.2 · ACCEPTANCE OF TERMS

By accessing, browsing, registering an account on, or otherwise utilizing the YXE Provider Directory, the User acknowledges that they have read, understood, and unconditionally agree to be bound by these Terms of Service. If the User does not agree to all of the terms and conditions contained herein, the User is expressly prohibited from using the Platform and must immediately discontinue all access and use.

2. Definitions

Unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:

Account
The unique user profile and credential set created by a User to access restricted features of the Platform.
Content
Any text, graphics, images, data, links, aliases, names, or other materials uploaded, submitted, or displayed by Users through the Platform.
Directory
The searchable database of adult service providers hosted on the Platform.
Platform
The YXE Provider Directory website, software, applications, and associated services operated by the Saskatchewan Harm Reduction Resource Network.
User
Any individual or entity that accesses, registers with, or utilizes the services of the Platform.

3. Eligibility and Age Restrictions

3.1 · AGE REQUIREMENTS

The Platform is strictly restricted to individuals who meet the legal age of majority in their governing jurisdiction and are at least eighteen (18) years of age, or older if required by local law to access adult services and related content. By accessing or registering on the Platform, the User represents and warrants that they meet or exceed this age requirement and have the legal capacity to enter into a binding contract.

3.2 · RESTRICTED ACCESS

Minors and individuals under the age of eighteen (18) are strictly prohibited from creating an account, browsing, or utilizing the Platform. The Platform operators reserve the right to request proof of age at any time and to terminate or suspend any account immediately without notice if age compliance cannot be verified.

4. Account Registration and Security

4.1 · ACCOUNT CREATION REQUIREMENT

Users are required to create an account in order to access and utilize the directory features provided by the Platform. The User agrees to provide accurate, current, and complete information during the registration process and to update such information promptly to keep it accurate, current, and complete.

4.2 · INFORMATION COLLECTED

During the account registration process, the Platform collects specific categories of user data, which include: Name — the User's real name or designated operating name as requested during registration; Ad Link — links to the User's professional advertisements or promotional pages; and Alias — the professional pseudonym or alias used by the provider within the directory.

4.3 · ACCOUNT SECURITY RESPONSIBILITIES

The User is solely responsible for maintaining the strict confidentiality of their account credentials, passwords, and access links. The User agrees to accept full responsibility for all activities, submissions, and communications that occur under their account. The User must notify the Platform immediately of any unauthorized use of their account or any other breach of security.

5. Privacy Policy and Data Protection

5.1 · PRIVACY COMMITMENT

The Platform maintains a comprehensive Privacy Policy designed to protect user data, anonymity, and sensitive information. The collection, storage, use, and disclosure of any personal or professional information provided by the User are governed strictly by the terms of the Platform Privacy Policy, which is incorporated herein by reference.

5.2 · DATA SECURITY MEASURES

While the Platform employs reasonable administrative, technical, and physical security measures to safeguard collected information against unauthorized access, disclosure, alteration, or destruction, the User acknowledges that no method of transmission over the internet or electronic storage is completely secure, and absolute security cannot be guaranteed.

6. User Conduct and Reporting of Inappropriate Behavior

6.1 · PROHIBITED CONDUCT

Users shall utilize the Platform strictly in accordance with applicable laws and professional safety protocols. Users are strictly prohibited from submitting false information, harassment, malicious defamation, or utilizing the Platform for any unlawful, fraudulent, or harmful purpose.

6.2 · REPORTING DANGEROUS BEHAVIOR

Users are provided with the functionality to report inappropriate, threatening, or dangerous behavior encountered during professional engagements. Users may log and report clients or individuals who engage in sexual assaults, physical assaults, attempted assaults, threatening behavior, attempted robbery, verbal harassment, refusal of screening, no-shows, time-wasters, boundary violations, catfishing, misrepresentation, or any other concerning, dangerous, illegal, or unfavorable actions.

6.3 · ACCURACY OF REPORTS

The User agrees and warrants that all reports, client flags, descriptions of dangerous behavior, and directory entries submitted by the User are accurate, truthful, and based on actual personal experience. The Platform relies on the integrity of User submissions to maintain community safety.

7. User Disputes and Complaints

7.1 · HANDLING OF DISPUTES

Disputes, disagreements, or complaints arising between Users or regarding directory entries shall be managed in accordance with administrative protocols established by the Saskatchewan Harm Reduction Resource Network. The Platform acts solely as a communication and directory service and assumes no direct liability for resolving interpersonal conflicts, legal disputes, or civil grievances arising between individual Users or between Users and third parties.

7.2 · RELEASE OF LIABILITY

In the event of any dispute between a User and any third party, client, or other directory member, the User hereby releases the Platform, its administrators, affiliates, and the Saskatchewan Harm Reduction Resource Network from any and all claims, demands, damages, and liabilities of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

8. Disclaimers and Limitation of Liability

8.1 · AS-IS PROVISION

The Platform, including all searchable directory content, client warning lists, and associated services, is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 · LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, the Saskatchewan Harm Reduction Resource Network, its operators, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from the User's access to or use of, or inability to access or use, the Platform or any directory content.

9. Modifications to Terms

9.1 · RIGHT TO MODIFY

The Platform reserves the right to update, modify, amend, or replace these Terms of Service at any time at its sole discretion. Modifications shall become effective immediately upon being posted to the YXE Provider Directory website. It is the User's sole responsibility to review these Terms of Service periodically for any changes.

9.2 · CONTINUED ACCEPTANCE

Continued use of or access to the Platform following the posting of any modifications to these Terms of Service constitutes acceptance of those changes. If the User does not agree to the modified terms, the User must immediately terminate their account and cease all use of the Platform.

10. Governing Law and Jurisdiction

10.1 · GOVERNING LAW

These Terms of Service and any dispute, controversy, proceedings, or claim of whatever nature arising out of or in any way relating to these terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of law principles.

10.2 · JURISDICTION

The Parties irrevocably submit to the exclusive jurisdiction of the courts located in Saskatoon, Saskatchewan, in respect of any legal action, suit, or proceeding arising out of or relating to these Terms of Service or the operation of the Platform.

11. Severability and Entire Agreement

11.1 · SEVERABILITY

If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

11.2 · ENTIRE AGREEMENT

These Terms of Service, together with the Privacy Policy and any other legal notices published by the Platform on the website, constitute the entire agreement between the User and the Platform regarding the use of the YXE Provider Directory, superseding any prior agreements or understandings between the Parties.

In witness whereof, the Parties have caused this Terms of Service Agreement to be executed and accepted electronically by the User's continued use of the Platform as of the date first above written.
